1. Scope of application
These general terms and conditions apply to all quotations, orders, deliveries, and agreements between OFP Chemicals bv, established at Mijlsteen 5, 9031 Ghent, and its professional customers. By placing an order or accepting a quotation, the customer declares agreement with these conditions.

2. Prices and quotations
All prices are in euros, excluding VAT, taxes, and transport costs, unless explicitly stated otherwise. Quotations are non-binding and valid for 30 days. Price changes may be applied in the event of changing market conditions or raw material prices.

3. Delivery and risk
Delivery times are indicative and non-binding. Goods always travel at the customer’s risk, even if delivered free of charge. Complaints must be submitted by registered letter within five calendar days after receipt of the goods.

4. Payment and notice of default
Unless stated otherwise, our invoices are payable within 30 days of the invoice date.
Receipt of the invoice constitutes, by operation of law and in accordance with Article 1139 of the Belgian Civil Code, a notice of default without any formal notice being required, solely by the expiry of the due date.

In the event of non-payment on the due date, the customer is, pursuant to Article 1147 of the Belgian Civil Code, automatically liable for:

• Compensation for late payment, contractually and irrevocably fixed at 12% of the invoice amount, with a minimum of €25

• Late payment interest of 12% per year, also automatically and without prior notice

• All additional collection costs shall be borne by the buyer

 

5. Returns policy
Given the chemical nature and customized composition of our products, returns are only possible in the event of a demonstrable error or defect attributable to OFP Chemicals. Return requests are accepted only after prior written approval.

 

6. Liability
The liability of OFP Chemicals is limited to the value of the delivered products. We are not liable for indirect damage, misuse, or damage resulting from non-compliance with usage and safety instructions.

7. Disputes and applicable law
All disputes are governed by Belgian law and fall under the exclusive jurisdiction of the courts of Ghent (Enterprise Court Ghent).
